This Interview Participation and Media Release Agreement (the “Agreement”) is entered into as of the Effective Date below by and between:

Max Industry Exchange, operating in the Province of Ontario, Canada (the “Company” or “MIE”),

and

____________________________________, an individual residing at ____________________________________ (the “Participant”).

1. Purpose

The Participant has agreed to participate in an interview, recording session, audiovisual production, or related media production (the “Interview”) conducted by or on behalf of the Company. This Agreement governs the rights, obligations, and permissions relating to the recording, editing, publication, distribution, and commercial exploitation of the Interview and related materials.

2. Grant of Rights

The Participant hereby irrevocably grants to the Company a perpetual, worldwide, transferable, sublicensable, royalty-free right and license to record, photograph, film, livestream, and otherwise capture the Participant’s name, voice, likeness, image, appearance, performance, statements, and biographical information (collectively, the “Content”).

The Participant further grants the Company the unrestricted right to use, reproduce, edit, modify, adapt, translate, publish, distribute, transmit, broadcast, display, promote, advertise, license, and otherwise exploit the Content, in whole or in part, in any and all media formats now known or later developed, including but not limited to websites, social media platforms, podcasts, streaming services, digital publications, marketing materials, advertising campaigns, sponsorship placements, and commercial distribution channels.

The rights granted herein are perpetual, irrevocable, and not subject to termination by the Participant.

3. Ownership

All recordings, audiovisual works, edited materials, excerpts, transcripts, derivative works, promotional materials, and related content created in connection with the Interview shall be the sole and exclusive property of the Company. The Participant acknowledges that they shall have no ownership interest in the final edited materials produced by the Company unless otherwise expressly agreed in a separate written agreement signed by both parties.

4. Editorial Control and Approval Waiver

The Company shall retain full editorial discretion and creative control over the recording, editing, sequencing, formatting, timing, distribution, and promotion of the Content. The Participant expressly waives any right to review, inspect, approve, or request edits to the final Content prior to publication. The Company agrees not to intentionally edit the Content in a manner that materially misrepresents the Participant’s statements.

5. Monetization and Compensation

The Participant acknowledges and agrees that the Company may monetize, commercialize, sponsor, advertise, license, or otherwise generate revenue from the Content in any manner, including but not limited to sponsorship arrangements, advertising placements, paid distribution, subscription models, brand partnerships, or promotional campaigns.

Unless expressly agreed in a separate written agreement signed by both parties, the Participant shall not be entitled to any compensation, royalty, residual, revenue share, or other financial participation arising from such monetization.

6. Representations and Warranties

The Participant represents and warrants that:

(a) they are at least eighteen (18) years of age and have full legal capacity to enter into this Agreement;

(b) their participation does not violate any contractual, employment, confidentiality, or legal obligations;

(c) statements made during the Interview are truthful to the best of their knowledge and do not knowingly infringe upon third-party rights;

(d) they have obtained necessary permissions for any third-party materials referenced;

(e) if appearing on behalf of an organization, employer, or entity, they have full authority to do so and to grant the rights contained herein.

7. Moral Rights Waiver

To the fullest extent permitted under the Copyright Act (Canada), the Participant hereby irrevocably waives in favour of the Company and its successors, assigns, and licensees any and all moral rights the Participant may have in or to the Content, including the right of integrity and the right to be associated with the Content by name or pseudonym.

8. Indemnification

The Participant agrees to indemnify, defend, and hold harmless the Company and its directors, officers, employees, contractors, affiliates, successors, and assigns from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to any breach of this Agreement, the Participant’s statements, or alleged infringement of third-party rights.

9. Release and Covenant Not to Sue

The Participant hereby releases and forever discharges the Company from any claims arising out of the authorized use of the Content under this Agreement. The Participant further agrees not to initiate or pursue any legal action against the Company relating to the authorized use of the Content, except in cases of willful misconduct or unlawful activity.

10. Limitation of Liability

To the fullest extent permitted under the laws of the Province of Ontario and the applicable federal laws of Canada, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from the Participant’s participation in the Interview or the publication, distribution, or use of the Content.

In no event shall the Company’s total aggregate liability exceed the total amount paid to the Participant, if any, or otherwise zero dollars ($0) where participation is unpaid.

11. Privacy and Withdrawal of Consent

Personal information collected in connection with the Interview shall be handled in accordance with the Company’s Privacy Policy and applicable Canadian privacy laws, including PIPEDA.

The Participant acknowledges that once the Content has been published or distributed, it may not be possible to fully retract or remove it from circulation, including from third-party platforms or reposts. While the Company may consider removal requests in good faith, it is not obligated to do so.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. The parties submit to the exclusive jurisdiction of the courts of Ontario.

13. Entire Agreement and Survival

This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions or agreements. The provisions relating to ownership, moral rights waiver, indemnification, limitation of liability, release, monetization, and governing law shall survive indefinitely.

14. Electronic Execution and Acceptance

This Agreement may be executed electronically and shall be legally binding upon acceptance. By signing electronically or indicating acceptance, the Participant confirms that they are at least eighteen (18) years of age, have read and understood this Agreement, and voluntarily agree to its terms.
